Terms of Service

The terms governing use of Implest’s agentic GTM infrastructure.

1. Service and agreement

Implest is business software provided by Komaneca SL, tax identification number B21790761, at Calle Balmes 191, 6º 1º, 08006 Barcelona, Spain. Contact: msegura@implest.com. Implest provides agentic go-to-market infrastructure for commercial analysis, prospect research, connected-account workflows, messaging, qualification, scheduling, reporting and related business operations. These Terms, the applicable order or checkout terms, the Data Processing Addendum and the Acceptable Use Policy form the agreement for use of the service.

You must be an adult with authority to act for the business using Implest. Features described as preview, beta, experimental or planned may change and are not a commitment that they will remain available.

2. Missions, instructions and execution modes

A Mission or equivalent request records the customer’s commercial objective, target, market, channels, constraints and other instructions. The customer determines the business purpose and the instructions that Implest is asked to execute. Implest may analyse those instructions, plan actions and use automated systems to carry them out within the selected configuration and the safeguards of the service.

Implest may offer copilot, supervised and autonomous execution modes. Selecting or authorising autonomous execution permits Implest to research, prioritise, generate, contact, reply, follow up, qualify, schedule and perform other actions that are within the Mission, the connected-account permissions and the product configuration. The customer remains responsible for the legality of its purpose, audience, data sources, offers, instructions and use of resulting information.

Implest may pause, restrict or require human review for an action where a compliance rule, recipient objection, account-health signal, platform warning, security risk or other safeguard requires it. An autonomous mode does not remove those controls.

3. Customer data, imports and exports

You must have the right to provide, upload, connect or otherwise make data available to Implest. Where you upload or connect a customer database, CRM, account or other source, you represent that you have the authority and lawful basis required for the purposes you instruct Implest to perform.

Implest may record the source and provenance of data used in a Mission. Data obtained from a connected platform or third-party data provider may also be subject to that provider’s contractual restrictions. Exporting data from Implest does not grant rights that the customer does not otherwise have. The customer is responsible for subsequent use of exported data, including communications carried out outside Implest.

4. Connected services and external platforms

Connect only accounts that you are authorised to use. Google, Microsoft, LinkedIn, Stripe, CRM providers and other external services apply their own terms, permissions, technical limits and availability rules. An Implest subscription does not override those rules and Implest does not guarantee that an external provider will continue to permit a particular integration or action.

LinkedIn and other platforms may restrict accounts or automated activity under their own terms. Implest may apply rate controls, account-health controls and automatic pauses to reduce abuse and protect connected accounts, but cannot guarantee that a third-party platform will not restrict, suspend or change access.

Implest must not be used through a fictitious human identity or an account that the customer is not authorised to control. Where the service identifies itself as AI, users must not remove or deliberately defeat a disclosure required by law or the product’s compliance policy.

5. Commercial communications and recipient choices

The customer is responsible for establishing an appropriate legal basis and complying with the laws applicable to its direct marketing and commercial communications. Buying a subscription, connecting an account or finding a professional profile does not by itself create consent from a prospect.

Recipient objections and opt-outs must be respected. Implest may maintain suppression records, cancel pending actions and block further communications after an objection. Customers must not attempt to bypass a suppression decision or re-import an objecting recipient in order to contact that person again unlawfully.

6. AI systems and outputs

Implest uses artificial intelligence to analyse business context, research opportunities, generate and classify content, interpret replies, prioritise prospects, recommend or execute next actions and support scheduling and other workflows. AI outputs can be incomplete, inaccurate or unsuitable for a particular context.

Implest does not guarantee sales, meeting volumes, recipient responses, market estimates, factual accuracy of every generated statement, uninterrupted service or acceptance by external platforms. Customers should apply appropriate review to high-impact business decisions and must not use Implest for prohibited or regulated decision-making described in the Acceptable Use Policy without an expressly approved use case.

Implest may provide human review or escalation features, but supervised review is not a substitute for the customer’s legal responsibilities or professional judgment.

7. Subscriptions, Credits and cancellation

The price, currency, billing frequency, included usage, Credits and applicable taxes are shown at checkout, in the plan description or in an accepted order. Recurring subscriptions renew at the disclosed interval until cancelled. Additional usage, top-ups or upgrades require the applicable purchase or authorisation.

Cancellation normally stops renewal at the end of the paid period unless an order or mandatory law provides otherwise. Failed payments may result in suspension after appropriate notice. Refunds are handled under the applicable order and mandatory law.

8. Data protection and security

Personal data handling is described in the Privacy Policy. Where Implest processes personal data on a customer’s behalf, the Data Processing Addendum applies. Implest may use subprocessors and third-party services as described on the Subprocessors & Third-Party Services page.

Implest applies technical and organisational safeguards appropriate to the service, including access controls, server-side secrets, encrypted transport, logging and operational security controls. No online service can guarantee absolute security.

9. Intellectual property

You retain rights in the business information and materials you provide. You grant Implest the permissions reasonably necessary to process those materials and perform your instructions. Implest retains rights in its software, models orchestration, prompts, workflows, product design, brand and other proprietary technology.

Feedback may be used to improve Implest without transferring ownership of your confidential information or personal data.

10. Suspension and termination

We may restrict or suspend affected functionality where reasonably necessary to address unlawful use, security risk, recipient objections, non-payment, external-platform restrictions or material breach. Where feasible and legally appropriate, we will provide notice and limit the restriction to the affected functionality.

On termination, access to the service may end and customer data will be handled in accordance with the Privacy Policy and Data Processing Addendum. Third-party actions already completed, including delivered messages or calendar events, cannot necessarily be recalled.

11. Liability and governing law

Each party remains responsible for its obligations under applicable law. Nothing in these Terms excludes liability or remedies that cannot lawfully be excluded. To the extent permitted by law, Implest is not responsible for indirect business losses, decisions by third-party platforms or results that depend on recipients, markets or customer instructions.

These Terms are governed by Spanish law. Any mandatory jurisdiction or consumer protections that cannot lawfully be waived remain unaffected. Questions or complaints may be sent to msegura@implest.com.
